9 March 2000 HONEYMOON IS OVER FOR COMPUTER DATING AGENCY BOSS Director banned for 10 years after ''Close Encounter'' with the Court A director of a computer dating agency whose serious misconduct in the boardroom, including transferring over #460,000 to himself, has been disqualified from being a company director for ten years. Keith Wilmot Chorlton was disqualified after his conduct as a director of Close Encounters Of The Best Kind Plc (Close Encounters) was found to be unfit by the Court.
The company carried on business as a computer dating agency but went into Creditors Voluntary Liquidation on 21 July 1997 owing approximately #175,124. Dr Kim Howells, DTI Minister with responsibility for the Insolvency Service said: " This is a perfect example of how a director can get himself a date with the Court. This one will stay with him for ten years. There was serious misconduct in this case which warranted a stiff penalty, and this disqualification shows that behaviour of this sort will not be tolerated. " If we believe a person has acted in an unfit way, we will not hesitate to take action to disqualify them and protect the public and the marketplace from their future unfit conduct."
Mr Chorlton did not defend the proceedings. the matters of unfit conduct found by the Court included that Mr Chorlton caused Close Encounters to enter into a series of transactions to the detriment of creditors, including (amongst others the transfer of the business and assets of Close Encounters Limited. This was done one month before liquidation, without regard to, or compliance with, section 320 of the Companies Act 1985 and: a) at a time when Close Encounters was insolvent with pressing creditors whom Close Encounters could not, and did not pay; b) with the purpose of putting those assets beyond the reach of a person making a claim against Close Encounters; c) in the circumstances where Close encounters Limited carried on the business of Close Encounters from the same premises, with the same assets, under a similar name, and under the same management. In addition, Mr Chorlton caused Close encounters to transfer to himself in a series of banking transactions, the aggregate sum of #464,030.65 (of which #200,568 was paid after Close Encounters ceased to trade) in circumstances which are unlawful under the Insolvency Act.
Mr Chorlton also failed to pay for some or all of the shares that he held in the company, and he did not avail himself of adequate management and accounting information, thereby failing to appreciate Close Encounters'' financial position so that he was unable properly to decide whether it ought to continue to trade.
The liquidator of Close Encounters has successfully brought legal action against Mr Chorlton on behalf of Close Encounters, resulting in a payment by Mr Chorlton to the liquidator of #300,000 and a liability for costs. Mr Keith Wilmot Chorlton of The Larches, Boughspring, Tidenham, Chepstow, NP16 7JJ was disqualified for 10 years on 3 March 2000 in the Cardiff County Court before His Honour Judge Moseley Q.C..
Close encounters operated from Berkeley House, 8 Portland Place, Pritchard St, Bristol BS2 8RH. 2. The Insolvency Service became an Executive Agency on 21 March 1990. 3. The Official Receiver becomes Liquidator when a company is compulsorily wound up by the Court and has a duty under the Insolvency Act 1986 to investigate the causes of the failure and report misconduct under the Company Directors Disqualification Act 1986.
Insolvency Practitioners acting as Voluntary Liquidators, Administrative Receivers and Administrators have a duty to report unfit conduct to the Insolvency Service. 4. Section 6 of the Company Directors Disqualification Act 1986 allows the Court to make a Disqualification Order of between two and fifteen years for unfit conduct.
On summary conviction to imprisonment to imprisonment for not more than 6 months or a fine not exceeding the statutory maximum, or both. Any person with information to suggest that MR KEITH WILMOT CHORLTON has acted in contravention of this provision should contact the Insolvency Service on 0845 601 3546.
** Been there and done that, contacting the Insolvency Service that is. One can only hope that Keith has a "Close Encounter" with the law at some point soon...
